Abstract: Nowadays, organizations work in the knowledge economy and "learning business", in this condition the best way for being survival and success for a long time and answer to threats and use opportunities is increase of learning capability. The goal of learning programs is achievement to useful outcomes; so effective learning take into account as a strategic resource. According to the importance of knowledge and learning for organizations managers have tendency to utilize the concepts of organizational learning and knowledge management in the work. In most literatures, the relation between organizational learning and knowledge management is divided into three categories. While, some of authors believe knowledge management entirely or some of its parts form the basis of organizational learning, others perceive organizational learning as antecedent of knowledge management. A small group of authors believe knowledge management is not except of organizational learning. The!
paper focuses on the third group` idea and investigates the quantitative relation between knowledge management and organizational learning by using mathematical method.
